CHANGE IN REGISTERED OFFICE ADDRESS FROM ONE STATE TO ANOTHER STATE

TO WHOM IT IS APPLICABLE?

  • Within the state but outside the jurisdiction of same ROC (Eg: From Pune to Mumbai within the same state of Maharashtra as there are two ROCs within the state of Maharashtra only i.e. ROC Mumbai and ROC Pune)
  • Outside the state and outside the jurisdiction of same ROC (Eg: From Delhi to Kolkata)

  • Minutes of board meeting.
  • Minutes of meeting in which special resolution has been passed.
  • Memorandum of Association and Articles of Association
  • Notice convening the general meeting along with explanatory statement.
  • Extract of special resolution passed by members approving the change of registered office.
  • Copies of notice sent to creditors, debenture holder, and depositor along with dispatch proof.
  • Particulars of objections received (if any);
  • Any attachment to support the details of prosecution filed against the company and its officers in default, (if any).

  • New Address of Company for The Registered Address
  • Title document, If the new address is owned by the company, or
  • Rent Agreement + Rent Receipt, of the new address, or
  • Utility Bill of Premises & NOC From Owner of the new address
  • Copy of the Board Resolutions for filing with ROC

FAQs

Changing your business address does not require the alteration of MOA, as far as the proposed registered office is situated within the same State. If the office is shifted to other State, situation clause that refers to State must be altered.

The change in the ROC has to be intimated to the registrar of companies by filing form INC-22, with which supporting document in the form of the ownership papers/Rent agreement and NOC from the owner is attached. The Form INC-22 must be attested by a practicing Chartered Accountant or Company Secretary or a Cost and Management Accountant.

In case the shifting of the registered office is from one state to another then prior approval of the regional director having jurisdiction is required.

All books of accounts must be kept at the registered office of the company. But if they are kept at any other place in India as decided by the Board of Directors, the company must send a notice in writing to the Registrar of that place, mentioning the full address of the place where the books of accounts are kept.

The Name Plate mentioning the address has to be modified, the Letterhead of the Company has to be changed, and the Statutory Register has to be shifted to the new registered office, Shop Act License & PAN card need to be altered.
